Klutch Terms of Service

1. Eligibility

You must be at least 21 years of age and a resident of a state where cannabis is legal for adult use to create an account or use the Service. By using Klutch, you represent and warrant that you meet these requirements. We reserve the right to verify your age and residency and to suspend or terminate accounts that do not comply.

2. The Service

Klutch is a prepaid credit and rewards platform that allows eligible users to load funds into an account, earn cash back on qualifying purchases at participating dispensaries, and redeem that cash back across the Klutch network. Klutch is not a bank, credit union, or money transmitter. Account balances are not deposits, are not FDIC insured, and are not investments. Funds you load are held by Klutch or its payment partners solely for the purpose of facilitating transactions and rewards on the platform.

3. Account Registration and Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. We may require additional verification (including identity or bank account verification) before allowing you to load funds or redeem credit.

4. Loading Funds and Prepaid Credit

You may load funds into your Klutch account through the payment methods we make available. Loading funds creates prepaid credit that can be used at participating dispensaries. Loaded funds are not refundable except as required by law or as expressly stated in these Terms. We may impose minimum or maximum load amounts and may refuse or reverse loads in our discretion.

5. Cash Back and Rewards

Cash-back percentages, eligibility, and redemption rules are determined by Klutch and participating dispensaries and may change at any time without prior notice. Cash back is issued as additional prepaid credit usable across the Klutch network as described in the app. Cash back is funded by Klutch and/or partner dispensaries. We reserve the right to limit, suspend, or reverse cash back in cases of suspected fraud, abuse, or violation of these Terms.

6. Redemption at Dispensaries

When you redeem credit at a participating dispensary, the transaction is subject to the dispensary’s own terms, product availability, and applicable state and local laws. Klutch is not responsible for the quality, legality, or availability of products sold by dispensaries. You are solely responsible for complying with all cannabis laws in your jurisdiction.

7. Fees

Klutch may charge fees for certain transactions or services. Any applicable fees will be disclosed in the app before you complete a transaction. We reserve the right to change fees with notice.

8. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any law;
• Attempt to circumvent age, residency, or identity verification;
• Engage in fraud, abuse of rewards, or manipulation of the platform;
• Interfere with the security or proper functioning of the Service;
• Create multiple accounts to exploit promotions or rewards;
• Resell or transfer account balances except as expressly permitted.

9. Intellectual Property

All content, trademarks, logos, and software related to the Service are owned by Klutch or its licensors. You may not copy, modify, or distribute any part of the Service without our prior written consent.

10. Disclaimers

The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the fullest extent permitted by law, Klutch and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service. Our total liability for any claim shall not exceed the amount you loaded into your account in the six months preceding the claim.

12. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, any remaining balance may be forfeited to the extent permitted by law, or we may return it at our discretion. You may close your account at any time by contacting us.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the app or by email. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
